Terms of Service & EULA

Effective Date: September 13, 2026

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, ACCEPTING AN ORDER FORM, ACCESSING OR USING MYFIRETOOLS, OR DOWNLOADING OR USING A MYFIRETOOLS MOBILE APPLICATION, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU USE MYFIRETOOLS ON BEHALF OF A COMPANY OR OTHER ORGANIZATION, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ORGANIZATION.

These Terms of Service and End User License Agreement (the “Terms”) are between Lando Digital LLC, a California limited liability company (“Lando Digital,” “MyFireTools,” “we,” “us,” or “our”), and the person or entity accessing or using the Services (“Customer,” “you,” or “your”).

“Services” means the MyFireTools fire and life-safety business management platform and related websites, web applications, mobile applications, APIs, portals, reports, documentation, support services, and features made available by Lando Digital. Depending on the Customer’s plan and configuration, the Services may include customer and property management, inspection scheduling and dispatch, fire/life-safety inspection workflows, panels and device records, deficiencies, photographs and attachments, proposals, work orders, invoicing, reporting, customer portals, integrations, location tagging, and related functions.

Features may vary by subscription, platform, device, jurisdiction, or release. We may improve, modify, add, replace, or discontinue features from time to time, provided that we will not intentionally eliminate the core functionality of a paid Service during a current subscription term without reasonable cause or notice where commercially practicable.

A Customer organization may authorize employees, contractors, technicians, administrators, customers, or other users (“Authorized Users”) to access the Services. Customer is responsible for its Authorized Users, for assigning appropriate roles and permissions, and for ensuring that access is removed when no longer appropriate.

You must provide accurate account information and keep credentials confidential. You may not share individual credentials except through functionality expressly designed for shared or organizational access. You must promptly notify us at hello@lando.digital if you suspect unauthorized access, credential compromise, or misuse.

Customer is responsible for determining whether an Authorized User is qualified, licensed, certified, trained, or otherwise permitted to perform any inspection, testing, repair, service, or professional activity recorded through MyFireTools.

Subject to these Terms, payment of applicable fees, and any applicable order form, Lando Digital grants Customer and its Authorized Users a limited, revocable, non-exclusive, non-transferable (except as expressly permitted in these Terms), non-sublicensable right to access and use the Services for Customer’s internal business operations.

For a MyFireTools mobile application, Lando Digital grants the Authorized User a limited, non-exclusive, non-transferable, revocable license to install and use the application on devices the user owns or controls, subject to applicable app-store usage rules.

You may not:

“Customer Data” means information, records, files, photographs, inspection results, device and building information, contact information, signatures, notes, reports, proposals, work orders, invoices, and other content submitted to or generated through the Services on Customer’s behalf, excluding the Services themselves and Lando Digital’s underlying technology.

As between Customer and Lando Digital, Customer retains its rights in Customer Data. Customer grants Lando Digital and its service providers a non-exclusive right to host, copy, transmit, process, display, back up, and otherwise use Customer Data only as reasonably necessary to provide, secure, maintain, support, improve, and administer the Services; comply with law; enforce these Terms; and as otherwise instructed or permitted by Customer.

Customer represents that it has all rights, permissions, notices, and consents necessary for Customer Data to be collected and processed through the Services. This includes information concerning Customer’s employees, technicians, clients, property owners, occupants, buildings, equipment, photographs, signatures, and location information.

We may create and use aggregated or de-identified information that cannot reasonably identify Customer or an individual for analytics, security, service improvement, capacity planning, and business operations. We will not attempt to re-identify data that we have treated as de-identified except as permitted by law for testing privacy or security controls.

MYFIRETOOLS IS A SOFTWARE, WORKFLOW, RECORDKEEPING, AND BUSINESS-OPERATIONS TOOL. IT IS NOT A FIRE PROTECTION CONTRACTOR, ENGINEER, AUTHORITY HAVING JURISDICTION (“AHJ”), CERTIFICATION BODY, CODE OFFICIAL, OR SUBSTITUTE FOR A QUALIFIED PROFESSIONAL.

Customer and its qualified personnel remain solely responsible for determining the laws, codes, standards, editions, amendments, manufacturer instructions, testing methods, frequencies, inspection scope, documentation, and corrective actions applicable to each property, system, device, and jurisdiction. This may include, as applicable, requirements associated with NFPA, ULC, OSHA, state or provincial law, local fire/building codes, an AHJ, insurers, manufacturers, or contractual obligations.

Templates, questions, code references, calculations, status indicators, reminders, reports, suggestions, validation messages, or other content provided by MyFireTools are aids only. They may be incomplete, outdated, inapplicable to a particular jurisdiction or installation, or affected by Customer configuration and entered data. A “pass,” “fail,” “deficiency,” “compliant,” or similar software status does not constitute a certification or guarantee by Lando Digital.

Customer must independently review inspection results and reports before relying on, signing, submitting, distributing, or using them for life-safety, regulatory, insurance, contractual, or compliance purposes. Lando Digital does not guarantee that use of MyFireTools will satisfy any inspection, reporting, licensing, record-retention, or compliance obligation.

Mobile features may request access to device capabilities such as precise location, camera, photo library, local storage, notifications, or biometric authentication. Access depends on device permissions and configuration. Customer is responsible for obtaining any notices or consents required before using these features in connection with employees, customers, properties, or other persons.

Location data and GPS accuracy can be affected by buildings, device hardware, satellite visibility, network conditions, operating-system behavior, and other factors. Location tags are not guaranteed to be exact and must not be used as the sole basis for emergency response, life-safety decisions, legal boundary determinations, or other uses requiring guaranteed positioning.

Offline or intermittently connected use may delay synchronization. Customer should confirm that records, photos, inspections, signatures, and other critical data have successfully synchronized before deleting local data, replacing a device, uninstalling the application, or treating a record as complete.

The Services may interoperate with third-party products or services, such as accounting platforms, mapping/location providers, cloud hosting, authentication services, payment processors, app stores, notification providers, analytics, crash-reporting services, or compliance/reporting platforms. Third-party services are governed by their own terms and privacy practices.

If Customer enables an integration, Customer authorizes Lando Digital to exchange Customer Data with that third party as reasonably necessary to provide the integration. Lando Digital is not responsible for third-party services, changes to their APIs, outages, acts or omissions, or data processing outside our control. Authorized Users must comply with applicable third-party terms when using the Services.

Paid Services are subject to the pricing, billing cycle, usage limits, property limits, user limits, and other commercial terms shown at purchase or in an order form. Except where required by law or expressly stated otherwise, fees are non-refundable and are exclusive of applicable taxes.

If a subscription automatically renews, we will disclose the renewal terms at purchase and charge the applicable payment method according to the agreed billing cycle unless the subscription is cancelled in accordance with the applicable purchase flow or order form. App-store purchases, if offered, are also subject to the applicable store’s billing and cancellation rules.

We may change pricing for a future renewal period by giving notice as required by applicable law or the applicable agreement. Failure to pay undisputed amounts when due may result in suspension or termination after any required notice or cure period.

We seek to provide reliable Services, but we do not guarantee uninterrupted or error-free availability. The Services may be unavailable due to maintenance, upgrades, telecommunications failures, cloud-provider issues, third-party failures, emergencies, security events, force majeure, or circumstances beyond our reasonable control.

Support is provided according to the Customer’s plan or order form. Unless expressly agreed in a separate service-level agreement, no specific uptime, response time, recovery time, or data-recovery commitment applies.

Lando Digital will use commercially reasonable administrative, technical, and organizational safeguards appropriate to the nature of the Services. No method of transmission, storage, authentication, or security is completely secure, and we cannot guarantee that unauthorized access or data loss will never occur.

Customer is responsible for appropriate account permissions, secure devices, supported operating systems and browsers, endpoint security, password practices, employee offboarding, and maintaining any independent copies or exports that Customer determines are required for legal, operational, insurance, or business-continuity purposes.

Lando Digital and its licensors own all right, title, and interest in the Services, including software, source and object code, interfaces, workflows, designs, databases, documentation, trademarks, logos, and improvements, excluding Customer Data and third-party materials. No rights are granted except those expressly stated in these Terms.

If you provide feedback, suggestions, or ideas concerning MyFireTools, you grant Lando Digital a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation, provided we do not identify you publicly as the source without permission.

Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use such information only to perform or receive the Services and will protect it using reasonable care. Confidential information does not include information that is lawfully public, already known without restriction, independently developed without use of the other party’s confidential information, or lawfully received from a third party without confidentiality duty.

A party may disclose confidential information when required by law, subpoena, or court order, subject to legally permitted notice and reasonable cooperation.

Our processing of personal information is described in the MyFireTools Privacy Policy. Where Customer uses MyFireTools to process personal information on behalf of its own customers, employees, or other individuals, Customer is generally the party deciding why and how that information is collected for Customer’s business purposes, while Lando Digital processes it to provide the Services. Additional data-processing terms may be agreed where required.

We may suspend access when reasonably necessary to prevent security threats, unlawful activity, material harm to the Services or others, or material breach of these Terms, or for nonpayment, subject to applicable law and contractual notice requirements.

Either party may terminate as provided in an applicable order form. If no order form governs, Customer may stop using free Services at any time, and paid subscriptions may be cancelled effective at the end of the applicable paid term unless otherwise required by law.

Following termination or account deletion, access to Customer Data may end. We may retain information for a limited period for backup, security, fraud prevention, dispute resolution, legal compliance, financial records, or other legitimate purposes as described in the Privacy Policy. Customer should export records it is required to retain before termination when export functionality is available.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LANDO DIGITAL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, LANDO DIGITAL DOES NOT WARRANT THAT THE SERVICES OR ANY TEMPLATE, CODE REFERENCE, INSPECTION QUESTION, REPORT, CALCULATION, LOCATION TAG, REMINDER, INTEGRATION, OR OTHER OUTPUT IS COMPLETE, CURRENT, ERROR-FREE, LEGALLY SUFFICIENT, OR COMPLIANT WITH ANY PARTICULAR FIRE, BUILDING, LIFE-SAFETY, INSURANCE, CONTRACTUAL, OR REGULATORY REQUIREMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER LANDO DIGITAL NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDO DIGITAL’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO LANDO DIGITAL FOR THE AFFECTED SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations in this section apply to the fullest extent permitted by applicable law and do not exclude liability that cannot lawfully be excluded or limited.

To the extent permitted by law, Customer will defend, indemnify, and hold harmless Lando Digital and its affiliates, officers, employees, and contractors from third-party claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from: (a) Customer Data; (b) Customer’s or its Authorized Users’ unlawful or unauthorized use of the Services; (c) Customer’s inspection, testing, repair, certification, professional, or life-safety activities; or (d) Customer’s material breach of these Terms. This obligation does not apply to the extent a claim is caused by Lando Digital’s gross negligence, willful misconduct, or infringement for which Lando Digital is legally responsible.

For an iOS application obtained through Apple’s App Store, these Terms are between you and Lando Digital, not Apple. Lando Digital, not Apple, is responsible for the MyFireTools application and its content, maintenance and support, subject to these Terms and applicable law. Apple has no obligation to provide maintenance or support.

The iOS license is non-transferable and permits use on Apple-branded products you own or control as permitted by applicable Apple usage rules, including permitted Family Sharing, volume purchasing, or similar features where applicable.

To the extent required by Apple’s applicable minimum EULA terms, if the iOS application fails to conform to an applicable warranty that cannot lawfully be disclaimed, you may notify Apple and Apple may refund the purchase price, if any, paid for the application; to the maximum extent permitted by law, Apple has no other warranty obligation regarding MyFireTools.

You represent that you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as supporting terrorism, and that you are not listed on a U.S. Government prohibited or restricted parties list.

Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS application and, upon your acceptance, have the right to enforce the applicable mobile-license provisions against you as a third-party beneficiary. Google and other app-store operators are not parties to these Terms except to the extent expressly required by their applicable terms.

You will comply with applicable export-control, sanctions, anti-corruption, privacy, employment, fire/life-safety, licensing, and other laws applicable to your use of the Services. You may not use or export the Services in violation of U.S. export-control or sanctions laws.

We may update these Terms from time to time. We will post the updated version with a revised effective date and provide additional notice where required by law or where a material change warrants it. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law. Material changes will not retroactively alter accrued rights where prohibited by law.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Except where applicable law requires otherwise, the state and federal courts located in Riverside County, California will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction and venue in those courts.

Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. Customer may not assign these Terms without Lando Digital’s prior written consent, except in connection with a merger, reorganization, or sale of substantially all assets where the assignee agrees to be bound and is not a direct competitor; Lando Digital may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or by operation of law.

If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, applicable order forms, and any incorporated agreements constitute the agreement concerning the Services and supersede prior or contemporaneous discussions on the same subject. An order form controls over these Terms only to the extent it expressly states that it overrides a specific provision.
